Please read these Terms of Service ("Terms") carefully before using DocBird ("Service", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Limitation of Liability
This limitation of liability clause defines the maximum extent of DocBird's financial responsibility to you. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCBIRD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF DOCBIRD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL DOCBIRD'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DOCBIRD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
2. No Legal Advice — UPL Shield
DocBird is not a law firm and does not provide legal advice. The documents, templates, and content generated by the Service are provided for informational and general reference purposes only. Nothing on the Service constitutes legal advice, creates an attorney-client relationship, or should be relied upon as a substitute for professional legal counsel.
DocBird's AI-generated documents have not been reviewed, approved, or endorsed by a licensed attorney. Documents may be incomplete, inaccurate, or inapplicable to your specific jurisdiction or circumstances. Laws vary by jurisdiction and change frequently; DocBird makes no representation that any document generated through the Service is current, accurate, or legally sufficient for your needs.
You are solely responsible for reviewing all generated documents and seeking independent legal counsel before using any document for any legal purpose. DocBird expressly disclaims any liability arising from your reliance on AI-generated content as legal advice.
3. Indemnification
You agree to defend, indemnify, and hold harmless DocBird and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Service or any content generated by the Service;
- Your violation of any applicable law, regulation, or third-party right;
- Your reliance on any document generated by the Service for any legal or business purpose;
- Any dispute between you and any third party arising from documents generated using the Service.
DocBird reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with DocBird's defense of such claims.
4. Assumption of Risk
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE AND ANY DOCUMENTS GENERATED THEREBY IS AT YOUR SOLE RISK. THE SERVICE AND ALL GENERATED CONTENT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
DOCBIRD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOCBIRD DOES NOT WARRANT THAT:
- The Service will meet your requirements or expectations;
- Documents generated will be accurate, complete, legally sufficient, or enforceable;
- The Service will be uninterrupted, error-free, or secure;
- Any errors or defects in the Service will be corrected;
- Generated content complies with the laws of any jurisdiction.
You assume all risks associated with the use of AI-generated legal document templates, including the risk that documents may be legally insufficient, inapplicable, or harmful to your interests if used without independent legal review.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates applicable federal, state, local, or international law or regulation;
- To generate documents intended to deceive, defraud, or harm any person or entity;
- To practice law without a license or otherwise engage in the unauthorized practice of law;
- To reproduce, distribute, or create derivative works of Service content without authorization;
- To transmit unsolicited commercial communications in violation of applicable anti-spam laws;
- To reverse-engineer, decompile, or attempt to extract the source code of the Service;
- To attempt to gain unauthorized access to the Service, its servers, or related systems;
- To collect or harvest user data without authorization;
- In any manner that could harm, disable, overburden, or impair the Service.
DocBird reserves the right to terminate access to the Service for any user who violates this Acceptable Use Policy, without notice and without refund.
6. Subscription and Refund Policy
Subscriptions. DocBird offers paid subscription plans billed on a monthly or annual basis. By subscribing, you authorize DocBird to charge your payment method on a recurring basis until you cancel. All subscription fees are quoted in U.S. dollars and are subject to change with thirty (30) days' notice.
Trial Period. Where applicable, DocBird may offer a limited-time trial period. Following the trial, your subscription will automatically convert to a paid plan unless cancelled prior to the trial end date. DocBird does not offer free tier accounts; all paid plans require a valid payment method.
Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features through the end of the paid period.
Refunds. All fees are non-refundable except as required by applicable law or as follows: If you experience a verified technical failure directly caused by DocBird that prevents access to the Service for more than 72 consecutive hours, you may request a pro-rated credit for the affected period. No refunds are issued for partial periods, unused features, or user error.
Payment Processing. Payment processing is handled by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service and privacy policy. DocBird does not store your full payment card information.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.
YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
8. Changes to These Terms
DocBird reserves the right to modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Service at least fifteen (15) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
